Terms of Service

Welcome to Nookly. These Terms of Service (“Terms”) govern your use of the Nookly website and booking platform (the “Service”). By using the Service, you agree to these Terms.

Nookly is currently offered as a Beta service based in Davao City, Philippines.

1. What Nookly does

Nookly is a platform that helps people discover and book desks and meeting spaces at independent venues: study hubs, co-working spaces, restaurants, and similar businesses that rent out space by the hour or day (“Venues”), and helps Venues manage those bookings. Nookly is not the operator of any Venue, and is not responsible for the spaces, facilities, goods, or services they provide.

2. Accounts

You may need an account to book or to manage a Hub. You are responsible for the accuracy of your information and for keeping your login secure. You must be at least 18, or have a parent or guardian's consent and supervision.

3. Bookings, check-in, and cancellations

• When you book a space, you reserve it for the selected date, time, and duration. Prices are set by the Hub and shown before you confirm.
• Grace period & no-shows: a reservation is held for a grace period (currently 15 minutes) after the start time. If you do not check in within that window, the reservation is auto-cancelled and the seat is released to someone else. This is automatic and there is no setting that turns it off. Any fees that ever apply will be shown to you before you confirm a booking.
• You may cancel through Nookly while your booking is still reserved, which releases the seat. Some Venues publish their own cancellation terms, including Venues that state a confirmed booking cannot be cancelled, and those terms are shown on the Venue's page before you book. Once a Venue has checked you in, cancelling is between you and the Venue.
• Refunds: Nookly does not take payments and does not issue refunds. Anything you have paid a Venue is between you and that Venue.

4. Payments

Nookly does not take payment. Booking through Nookly is free for customers and free for venues during the beta: there is no booking fee, no commission and no subscription. You pay the Venue directly for the seat or room you book, by whatever methods that Venue accepts, and the Venue's price is shown before you confirm. Nookly never asks for your card details, never holds your money and cannot issue a refund: anything you have paid a Venue is between you and that Venue. If Nookly ever charges for anything, it will be shown before you confirm, and venues will be told before it takes effect.

4b. The price you agreed to

A confirmed booking keeps the price it was made at. If the Venue changes its rates afterwards, the change applies to new bookings only and never to one you already hold.

If the Venue's rate changes while you are in the middle of booking, your reservation is not created at the new price. It is refused, and you are shown both numbers, the one you were quoted and the one the Venue now charges, and asked whether to go ahead. Nothing is booked and nothing is owed unless you choose to continue.

If the Venue moves your booking to a different seat, room, day or time, you keep the price you booked at, including when the space they move you to normally costs more.

5. Responsibilities of Venues

Venues are responsible for the accuracy of their listings, availability, pricing, and for honoring confirmed bookings, as well as for complying with applicable laws regarding their premises and operations.

6. Acceptable use

You agree not to misuse the Service, including by attempting to disrupt it, book fraudulently, harass others, or use it for any unlawful purpose.

7. Disclaimers

The Service is provided “as is.” While we work to keep availability accurate and the platform reliable, we do not guarantee that listings, availability, or the Service will always be error-free or uninterrupted.

8. Limitation of liability

To the extent permitted by law, Nookly and its operator are not liable for indirect or consequential damages, or for the acts, omissions, facilities, or services of any Hub.

9. Changes

We may update these Terms or the Service from time to time. Continued use after changes means you accept the updated Terms.

10. Governing law

These Terms are governed by the laws of the Republic of the Philippines.
