Terms of Service

Welcome to Nookly. These Terms of Service (“Terms”) govern your use of the Nookly website and booking platform (the “Service”), operated by EM Labs Corp. By using the Service, you agree to these Terms.

1. What Nookly does

Nookly is a platform that helps people discover and book desks, café nooks, private rooms, and event spaces at independent venues: cafés, restaurants, study hubs, co-working spaces, and similar businesses that rent out space by the hour or day (“Venues”), and helps Venues manage those bookings. Nookly also lists community events and pop-up markets, where Venues or event organizers (“Organizers”) can offer small micro-retail booth spaces for vendors to rent. Nookly is not the operator of any Venue, Organizer, or event, and is not responsible for the spaces, facilities, goods, or services they provide.

2. Accounts

You may need an account to book or to manage a Hub. You are responsible for the accuracy of your information and for keeping your login secure. You must be at least 18, or have a parent or guardian's consent and supervision.

4. Payments

Booking through Nookly is free for customers; you pay only the Venue's price for the seat or room you book. Venues choose how they pay Nookly: a commission (a percentage of each completed booking) on the pay-as-you-go option, or a flat monthly subscription (e.g. Starter or Pro) with no per-booking commission. Applicable fees, rates, and any no-show fees are shown before you confirm. Payment processing is handled by third-party providers, and their terms also apply. Current rates are indicative during the beta and may change with notice.

For community events and pop-up markets, attendance is free for guests, with no ticket or registration required. Vendors apply for booth spaces for free; the Organizer reviews and approves or declines each application. Payment to confirm and hold a booth is collected after approval. The Organizer sets and collects the booth fee and runs the event on the day; Nookly provides the listing and application pipeline and charges a commission per booth booked online through the Service. Booth applications are subject to the Organizer's confirmation.

5. Responsibilities of Venues

Venues are responsible for the accuracy of their listings, availability, pricing, and for honoring confirmed bookings, as well as for complying with applicable laws regarding their premises and operations.

6. Acceptable use

You agree not to misuse the Service, including by attempting to disrupt it, book fraudulently, harass others, or use it for any unlawful purpose.

7. Disclaimers

The Service is provided “as is.” While we work to keep availability accurate and the platform reliable, we do not guarantee that listings, availability, or the Service will always be error-free or uninterrupted.

8. Limitation of liability

To the extent permitted by law, Nookly and EM Labs Corp. are not liable for indirect or consequential damages, or for the acts, omissions, facilities, or services of any Hub.

9. Changes

We may update these Terms or the Service from time to time. Continued use after changes means you accept the updated Terms.

10. Governing law

These Terms are governed by the laws of the Republic of the Philippines.
